ATLANTA, Aug. 15 /PRNewswire-FirstCall/ -- Delta Air Lines, Inc. (NYSE: DAL - News) today announced that it has entered into a definitive agreement to sell its wholly owned regional airline subsidiary Atlantic Southeast Airlines, Inc. (ASA) to SkyWest, Inc. (Nasdaq: SKYW - News) for a purchase price of $425 million in cash. ASA will continue to serve Delta customers under a new 15- year Delta Connection agreement, with ASA's fleet of more than 150 aircraft continuing to fly Delta routes. Chief Executive Officer Gerald Grinstein said, "We are pleased to strengthen our long-time relationship with Delta Connection partner SkyWest and believe the transaction will be mutually beneficial to our customers and our companies. This transaction provides for a long-term competitive cost structure as well as appropriate incentives to reward ASA for operational excellence and cost improvement. Delta has extensive experience working with SkyWest and other regional carriers under capacity purchase arrangements."

He continued, "This transaction achieves important operational and financial objectives, while enabling our customers to continue to benefit from ASA's commitment to operational excellence and Delta's broad network reach."

ASA President Skip Barnette said, "ASA has long been an integral part of the Delta Connection carrier network and we are pleased with this opportunity to grow our service while we will continue to serve Delta customers. We also look forward to the new opportunities this transaction creates for ASA and its employees. Customer Service and Routes

In conjunction with the sale transaction, Delta will enter into two new Delta Connection agreements under which ASA and SkyWest Airlines will continue to serve as Delta Connection regional carriers through 2020. Delta's agreement with ASA includes strong incentives for ASA to meet or exceed specific performance benchmarks and enhance cost efficiency.

Current plans are for ASA and SkyWest Airlines to operate as wholly owned subsidiaries of SkyWest, Inc. As a result, the sale transaction is not expected to result in any significant changes in ASA's flight schedules or locations served.

Since the time of Delta's purchase in 1999, ASA has more than doubled in size and significantly improved customer service. Under Delta's ownership, ASA has added more than 100 new regional jets, serving 126 destinations, while at the same time adding nearly 3,000 employees to support the growing business.

Financial Information

The sale of ASA to SkyWest for a purchase price of $425 million is subject to certain closing conditions, including regulatory reviews, and is expected to close in September.

As per the terms of the agreement, $350 million in cash will be payable at closing, representing $330 million of the purchase price and $20 million relating to certain aircraft financing deposits. An additional $125 million representing $95 million of the purchase price and $30 million relating to certain aircraft financing deposits is payable to Delta upon the earlier assumption by Delta of the ASA and SkyWest Airlines Delta Connection agreements should Delta file for reorganization under Chapter 11 or four years after the closing of the transaction. Conversely, SkyWest shall be entitled to retain $125 million if Delta were to reject its Delta Connection agreement with either ASA or SkyWest Airlines in a Chapter 11 proceeding prior to the fourth anniversary of the closing of this transaction.

The proceeds from this transaction will be used by Delta for general corporate purposes and to pay down $100 million of outstanding borrowings under its credit facility with GE Commercial Finance and other lenders.

"As we continue to implement Delta's transformation plan, this transaction not only enhances our ability to operate our business as efficiently and cost effectively as we can, it also improves Delta's liquidity position," Grinstein said. "As Delta takes steps to secure its future as a competitive airline, we will continue to take a hard look at all of our operations and assets to identify opportunities to strengthen our financial position in the face of continuing market pressures and factors outside of our control, including fuel prices."

The boards of directors of both companies have approved this transaction. Goldman, Sachs & Co. and Davis Polk & Wardwell served as financial and legal advisers, respectively, to Delta for this transaction.

ATLANTA (AP) -- Delta Air Lines Inc., which is struggling to avoid a bankruptcy filing amid persistently high fuel costs, said Monday it is selling feeder carrier Atlantic Southeast Airlines Inc. to SkyWest Inc. for $425 million in cash.

Delta, the nation’s third-largest carrier, said the proceeds will be used for general corporate purposes and to pay down $100 million of debt under its loan agreement with GE Commercial Finance and other lenders.

The sale, subject to regulatory review, is expected to close in September.

Delta shares fell 22 cents, or 13.7 percent, to close at $1.39 in extremely heavy trading on the New York Stock Exchange on Monday.

ASA will continue to serve Delta customers under a new 15-year agreement, with ASA’s fleet of more than 150 aircraft continuing to fly Delta routes, the airline said in a statement.

SkyWest Inc., based in St. George, Utah, is the parent company of SkyWest Airlines, which operates as an independently owned partner carrier to Delta and United Airlines. SkyWest has been a Delta Connection carrier since 1987.

As part of the sale, Delta will enter into two new Delta Connection agreements under which ASA and SkyWest Airlines will continue to serve as Delta Connection regional carriers through 2020.

The transaction is not expected to result in any significant changes in ASA’s flight schedules or locations served, Delta said.

SkyWest CEO Jerry Atkin said in an interview that the discussions with Delta had been in the works for several months. He said the transaction will benefit passengers.

“We hope we will be able to make the customer service aspect improved,” Atkin said.

Delta purchased ASA in 1999. Today, it provides 957 daily connection flights for Delta.
The terms call for $350 million in cash to be payable at closing, representing $330 million of the purchase price and $20 million relating to certain aircraft financing deposits.

Also Monday, Delta was expected to file its quarterly report to the Securities and Exchange Commission.

In the SEC filing, Delta is expected to update investors on the Atlanta-based airline’s efforts to negotiate an agreement with a new Visa/MasterCard credit card processor. Its existing processing contract expires on Aug. 29.

Delta, which has been beset by talk of a possible bankruptcy filing, delayed filing the SEC report last Tuesday because of the credit card processor negotiations.

In delaying its SEC filing last week, Delta said the credit card processor it is negotiating with is requiring Delta to put up a significant cash reserve, deposited with the processor immediately upon start of the new contract, for tickets purchased using Visa or MasterCard but not yet flown.

Delta, hit by high fuel costs, has lost nearly $10 billion since January 2001.

How much did Delta pay for ASA initially??

I guess the ASA guys have more to worry about now than the CMR guys f-cking them with their LOA.

I believe DL paid $800 million. (Somebody correct me if I am wrong). Not exactly a good return on their investment.

Excuse my ignorance but does this mean the pilots at both will not have to worry about a "staple" or "percentage integration" for the time being?????

Lighten up Francis, I RTFA. Notice you said current plans, and we all know how quickly that can change in this industry. Do you really think one won't be used to whipsaw the other? Do you really they will continue to expensively operate two seperate airlines indefinately, especially when operating for the same codeshares? Of course there are going to be fences and protections, but don't be naive.

Like I said, good luck, I have friends that work for both places...

Glad to be aboard SkyWest folks. I am happy as this gets us out from the looming bankruptcy.

What about SkyWest pilots voting in ALPA. Just to keep the whipsaw thing to a minimum?

Honestly...the challenges of intergrating and all of that will be taken care of when the time comes...in the meantime...THANK GOD SKYWEST IS HERE...So who do we talk to at skywest so that all of our management can be replaced????
