I've go a scenario for ya. East pilots vote in USAPA. West pilots sue USAPA. What little money and resources USAPA had is gone. US Airways merges with an ALPA carrier and we all get to drop our pants and bend over. Stupid clueless uninformed Easties.
 
This was copied from a past article in the WSJ and is consistent with what I posed as well as with what Jeff and Larry stated regarding the golden share.

How would NWA's 'golden share' complicate a Continental merger?
From The Wall Street Journal (subscription required): The preliminary talks on merging United Airlines and Continental, the nation's second- and fifth-largest airlines, respectively, have run into several vexing issues, including what to do about the "golden share" that Northwest Airlines Corp. holds in Continental, which could complicate any deal Continental might attempt, the people familiar with the matter said. Northwest's golden share is a special voting series of Continental preferred stock it owns in connection with its marketing alliance with Continental, which runs through 2025. Northwest could use those shares to block a merger of Continental with another major airline -- if the combination required a vote by Continental shareholders. Even with the golden share in place, however, Continental could buy another airline without interference from Northwest if that transaction didn't require Continental shareholders' approval.

The weasels...er...lawyers that drafted the restrictions (Steenland was one of the worker bee lawyers who drafted it in '98) put triggers in the language. If the "purchase" involves any exchange, issuance, or reclassification of stock, the shareholders must vote.

Since the only option that circumvents that restriction is a tender offer, the expenditure necessary to buy 100% of the shares of UAL would trigger a shareholder vote.

He's a professional CEO. That IS his job. Oil, airline seats, condoms--Tilton doesn't care what his company sells just as long as the stock price stays up and the options keep flowing. TC

I realize this is lost you Turtle but keep in mind that USAir prior to our coming into the picture was a day away from CH7 now you can speculate all you like but the numbers just don't lie my friend!! Yes he left AAA because he like many many others saw the writing on the wall, AAA was dead and very soon to be buried. You just have now intelligent response for over 33% of your pilot group furloughed at the time this thing came together do you???

He went to AWA from AAA because he was furloughed from AAA. Guess he should have waited around and let a promising job at a growing carrier pass him by so that he could go back to AAA and be a self righteous doo dad like you.

I congratulate him on his new job. Yet I don't find it justified to congratulate him on leaping 1,500 pilots forward, ahead of his former classmates that are still flying at USAir.

And by the way if I were in a mind to congratulate him for such, it would be premature since in hasn't happened yet. I never was good at counting chickens before they hatch, so I'll just wait and see what happens.:)

I didn't ask you to attempt to justify why he was entitled to leap ahead of his classmates on the Nic list, I merely suggested you ask him how many he jumped.

I appreciate that you feel the need to justify it. You are in good company.

He made a good move not knowing what would happen in the future, and you didn't. You also lost arbitration that you all agreed to. Your whole pilot group is a disgrace.

He made a move. It was ok at the time. It is a little too early to decide if it was good or better. Right now he might feel like one of two cats tied together by the tail, as Prater and pals stand watch.

Your brush of shame is a broad one, and I used to think about 56% of USAir pilos deserved it. But people change. Prater has done more to define principle for the USAir pilots than I ever imagined would happen.

Anyone who sides with Prater and his pals can paint AAA pilots with whatebever brush they wish.

Smarts had nothing to do with it. He was furloughed from the OLD US Air and hired by the good folks at AMERICA WEST AIRLINES (Callsign...CACTUS!). Then our CEO went looking for funding for a possible aquisition of the OLD US Air. Well....you know the rest of the story.

Here's the rub on USAPA.......CHANGING UNION AFFILIATION WILL NOT CHANGE THE AWARD. CHANGING UNION AFFILIATION AND THEN "MERGING" WITH ANOTHER ALPA CARRIER WILL BE A DISASTER FOR EVERYONE AT THE NEW US AIRWAYS. DUH!
