Compensation
Pilots will be paid based on “segment time” which is the historical block to block time between
city pairs. The Pilot Advisory Board will appoint a committee to review the segment times using
previous data and make recommendations for changes to the established segment times. The
Company will review the suggestions of the Pilot Advisory Board and when appropriate, will
adjust segment times accordingly. If there is no known segment time (for charters, reposition
flights, deadhead flights, attempted flights or diverted flights, etc. the actual block to block flight
time will be used.)
Pilots will receive hourly flight pay based on their status and equipment in accordance with
length of service for segment time flown with the Company as follows:

Pilots are eligible for performance bonuses as set forth above. Bonuses shall be paid so long as the
Company is profitable on a quarterly basis. Margin shall be defined as pretax operating income less
interest expense associated with aircraft leases and excludes any extra ordinary gain or loss, divided by
revenue. This Calculation shall be the same as that used to compute performance bonuses for the
Chairman and President.
Stock Options
Upon becoming Captain, a pilot shall be issued 600 options to purchase Company stock which
shall vest evenly over three (3) years.
Pilots flying on Company holidays shall receive 1.5 times the applicable rates set forth above.
Company holidays are:
New Years Day (Jan. 1st)
Veterans Day
Memorial Day Thanksgiving
Independence Day Christmas (Dec. 25th)
Pilots flying on days off will receive 1.5 the rates set forth above.
Cancellation Pay
So long as the controllable (mechanical, aircraft damage, crew shortages, etc.) completion factor
is above 97.5% each bid period the Company will pay for all controllable cancellations
retroactively following the end of each month. For example, if the bid period February 1 to
February 28 has a controllable cancellation rate of 99.5% then all pilots would receive the value
of flights cancelled for controllable reasons during February in their March wage payment.
A Captain holding a First Officer’s bid will be paid at Captain’s rates when flying as Captain.
Upon advancing from one pay step to the next, a Pilot will receive the increased rate at the
beginning of the pay period nearest the anniversary date. A Captain holding a line of flight as a
Captain who is requested by the Company to fly as a First Officer will be paid at Captain rates.
