Mesaba Airlines to become Northwest Airlines Subsidiary Under New Plan

Regional Airline Files Its Plan of Reorganization with Bankruptcy Court
Minneapolis/St. Paul, Minn. – January 22, 2007 – Mesaba Airlines, a subsidiary of MAIR Holdings, Inc.
(NASDAQ:MAIR) announced today that it has signed a stock purchase and reorganization agreement
with Northwest Airlines (OTC: NWACQ.PK) under which Mesaba would become a wholly-owned
subsidiary of Northwest Airlines, Inc.
Intensive negotiations with Northwest Airlines officials concluded this week with the boards for both
Mesaba Aviation and MAIR Holdings, Inc. approving the deal.
"Mesaba now is positioned to form a new partnership with Northwest Airlines and meet the on-going
challenges of the airline industry,” Mesaba President and Chief Operating Officer John Spanjers said.
“The support of Northwest and the cooperation of our first-rate, dedicated employees and our vendors
have allowed us to use this process to lay the groundwork for Mesaba’s future success."
The stock purchase and reorganization agreement is part of Mesaba’s Plan of Reorganization (POR) that
it filed today with the United States Bankruptcy Court for the District of Minnesota. The Company
intends to file its related Disclosure Statement with the Court in the coming days.
"We have achieved exceptional results across the board during this restructuring process and today’s
filing represents a significant step toward a successful future for Mesaba,” Spanjers said. “Our efforts
will ensure that we emerge from Chapter 11 as a competitive regional carrier with a solid financial
foundation and a continued focus on unmatched operational performance.”
Mesaba intends to exit from Chapter 11 bankruptcy protection by the spring of this year.
In addition to the stock purchase and reorganization agreement, the POR addresses the treatment of
creditors’ claims and assumes the new agreements with Mesaba’s labor groups and certain vendors and
suppliers.
Restructuring Progress
Mesaba’s comprehensive restructuring plan reduces costs by $68 million a year, secures its core
business with Northwest for the 49 Saab 340Bs and positions the company for future growth
opportunities. As a result of its on-going restructuring initiatives, the company has achieved reductions
in its fixed costs, vendor costs, aircraft and engine leases, and labor costs.
“Mesaba employees have made a considerable sacrifice to achieve that cost structure,” Spanjers said.
“Our employees have exemplified the true commitment and professionalism that makes Mesaba the
exceptional airline that it is.”

Plan Highlights

Under the Stock Purchase and Reorganization Agreement with Northwest Airlines, all of the existing

equity securities of Mesaba will be cancelled and terminated. Northwest has agreed that Mesaba has an

allowed $145 million unsecured claim in Northwest’s Chapter 11 case in exchange for 100 percent of
Mesaba’s new common stock to be issued on the effective date of the Plan. It is expected that the $145
million claim will be sold to fund the plan distributions to creditors, with the remainder of the sale
proceeds being distributed to MAIR Holdings, Mesaba’s parent.
Timing
The Plan is expected to become effective approximately two weeks after the Bankruptcy Court confirms
the Plan. The confirmation hearing will be set by the Bankruptcy Court at a later point in time, but is
expected to occur in mid-April 2007.

So are we pilots going to recieve any compensation as credit holders with our 14 million dollar claim? What if we left before this deal has gone through but was here during some of the bankruptcy?
 
Max, log in and read the Mesaba ALPA message boards. There is a lenghtly discussion ongoing about who should & shouldn't get a payout. If you aren't coming back to Mesaba, you probably will be excluded from any payout since the claim money is to make up for losses encured while working under the new contract. The claim money is not to make up for hardships suffered due to the airline downsizing.

With these 2 statements, ALPA has once again proven that it will live up to it's reputation of throwing others under the bus. I never thought I'd get a dime, thank God I've moved on, but there are others out there who left after 5/6 years of upgrade/downgrade/furlough BS and if they don't return TW and the boys have more to divvy up.
Truly sad - the people who got screwed over waiting for a career there, then finally gave up and left out of resignation, should get a piece of the pie - if only to make up for the cruel and unusual punishment that XJ dished out.
ALPA will not give a crap about these guys.

The language on the claim specifically refers to the contractual losses. That is how bankruptcy claims work.

My opinion is that yours is completely irrational, and you just like to bash ALPA when you have a chance.

Actually I think ALPA is much more on the ball than the IBT. I think that there could be some provision for those guys that were treated like crap for years at XJ - just because it hasn't been done before, doesn't mean it can't be done now. By the way, as previously stated, I've moved on to better things - it doesn't apply to me!

The Compass name came from the NWA Cargo subsidiary (one of the companies under the aegis of NWA, Inc...which includes MLT Vacations, Northwest Airlines, Northwest Aircraft Corp., etc), and was first established in '98. Nothing goofy or sinister about that. The ALPA member on the NWA Board likened it to locking-up a domain name for the web before you actually use it. In a similar move, NWA also locked-up "Crappy Service Air". [Kelleher locked-up "Greyhound Air" in the 70's...just in case!]

The rumor of shifting Cargo to Compass was started by folks that didn't read the filing very well.

The Mesaba purchase gives NWA, Inc another option in re-org. The exit goal seems to be cash-only exchanges vice a large equity dsitribution, so holding another asset that can be chunked or enlarged-then-sold (think Pinnacle) makes it creditor-friendly.

Some things NWA owns can't be sold. Some can. Mesaba and Compass are in the latter category.

But are you really comparing those of us who were crapped on for the last 5 years by this management team through no fault of our own, to a moron who cannot control his drinking on overnights? While your point is valid, your argument sucks.

Kmox, call the concessions what you wish but it looks like they are going to get paid back nearly 100 pennies on the dollar. Not a bad deal when you consider that around 2/3 of the $14.3 million in concessions is soft. The fact that Mesaba pilots are going to get a hard dollar payout for all of the soft concessions will actually put most of the pilots ahead of what they would have made under the old contract.

The FO pay was like this when you applied and got hired here. And if there was a split rate, you would've never had the seniority to be in the Avro. The FO retro pay percentage was double than what the CA retro pay percentage was. WTF ARE YOU TALKING ABOUT OVER???!!!!?!?!?!!?!????

That's why I posed the silly but valid argument. Its really apples and oranges. Everyone is equally pissed about the treatment by NWA and XJ. But the claim has nothing to do with being crapped on by mgmt over the years. It has everything to do with the concessions in the contract.

just because the FO rates were like that when I got here does not mean its wrong that attitude is EXACTLY what is wrong in our industry. And I know it would have been unlikely to get the avro, but what i am talking about is fairness. The old norm of pay your dues does not work and needs to be addressed! And by ignoring whats going on currently is exactly what the problem is. And i am nnot talking about retro pay....but do your math dude! Our last pay rates......5% at 85 and hour verses 15% at 19-25 and hour....who got a better raise? And now the same thing will happen with this bankruptcy check

If you READ your math you would see the FO's didn't get sold out. Can you please explain to me how double retro pay and a triple pay increase is getting sold out? Before things went to hell at XJ, there were over 140 FO's that passed on the upgrade, and that tells me that the FO rate musta been somewhat comfy. Maybe I should whine that I didn't get hired at one of the Legacy in the 90's because HR departments had boxes to check, because that's what I think is EXACTLY what is wrong with the industry. That and CEO compensation.
 
On those points i agree with you! finally some common ground to complain about! I will say that 38 an hour working mon-thur, picking up trips for time and a half would be pretty cool if mommy and daddy got you there in the first place, helped you buy your car and house.................................................................................................................now thats the truth! every airline has them.................they are the ones who passed on upgrade........well, i did not mention the ones with rich wives, husbands, sugar (momma/daddie) kids which require being home.......do not tell me 28 an hour is great and comfy........give me a break, give those who have been an FO for 7 years a break......thats not me by the way.

Looks like our fearless quaterback is in the game again. Finally through spouting off about how we, the employees, are throwing away a good company....blah blah blah (through that Lizzy Biatch of course). I would still give up another percent or two just to watch that jerk get thrown out on his butt. He deserves no credit in regards to XJ.

I hope so, because you guys deserve a lot more than could even be given in a settlement. I'm curious to the actual payout. Although I hope it's more, my guess is it will be a lot less than you imagine.

My point being that NWA got XJ for virtually nothing...

MAIR might get $30-$60 million for ABSOLUTELY NOTHING...

The pilots will get some sort of settlement to ease the burden of a concessionary contract...

It seems to me that the pilots (once again) got fcuked. I would like to see it the other way for once.
