Pinnacle Airlines buys another regional airline for $20M

Pinnacle Airlines Corp. announced Thursday it has purchased Colgan Air Inc. for $20 million in a cash plus stock transaction.
Memphis-based Pinnacle (NASDAQ: PNCL - News) is acquiring Manassas, Va.-based Colgan Air Inc. for an immediate cash payment of $10 million and another $10 million in a one-year note secured by the stock of Colgan Air. The acquisition was completed Thursday and is pending regulatory review.
Colgan Air is a turbo-prop regional airline operating as Continental Connection, United Express and US Airways Express. Founded in 1991, privately-held Colgan Air offers 354 daily flights to 53 medium-sized cities in 13 states.
With a fleet of 39 Saab 340, which transport up to 34 passengers, and 11 Beech 1900 regional airliners that can carry 19 passengers, Colgan has hub operations in Boston, Houston, New York, Pittsburgh and Washington, D.C.
Colgan Air employs 1,100, transports 1.5 million passengers annually and has annual revenues of $190 million.
"This is a strategic move for our organization and offers Pinnacle Airlines Corp. extraordinary opportunities by diversifying and expanding into multiple platforms," said Philip H. Trenary, President and CEO of Pinnacle Airlines Corp., in a statement. "Colgan Air has a highly productive workforce with knowledge, experience and fantastic dedication."
The acquisition give Pinnacle access to Continental Airlines, United Airlines and US Airways, in a addition to its already established relationship with Northwest Airlines (Pink Sheets: NWACQ - News). The new code-shares will be "invaluable to helping grow both Pinnacle Airlines Inc. and Colgan Air," Trenary said.
Pinnacle Airlines, Inc. and Colgan Air will operate as two separate entities with Pinnacle Airlines' headquarters in Memphis and Colgan's in Manassas.
Now an airline holding company, Pinnacle Airlines Corp. employs more than 4,600.
