ATA seeks to avert bankruptcy with asset sale

Consolidation of the overcrowded US low-cost airline sector could begin as ATA, the country's 10th largest carrier, prepares to sell assets to avert bankruptcy.


Seabury Group, a boutique investment bank that specialises in transportation, has been appointed to find buyers for ATA's operations at Chicago's Midway airport, where it accounts for about 40 per cent of all departures.

ATA is seeking buyers for its airport gates and is considering transferring the leases on its Boeing 737-800 aircraft, according to several investment bankers.

Seabury declined to comment.

One banker said ATA was seeking to raise about $500m from the transactions but suggested a price tag of $200m-$300m was more realistic.

“They want to pay off their [$148.5m] loan to the Airline Transportation Stabilisation Board, and their unsecured bond holders,” the banker said.

AirTran, the low-cost carrier, and Mesa, a regional carrier, are among those understood to be interested.

Although America West has been looking to expand its operations and has talked about the need for consolidation among low-cost carriers, it has been focusing on Airbus aircraft.

In a filing this month, ATA said it faced “substantial additional liquidity concerns” after plunging to a first-half loss of $90m, from income of $32m a year ago.

It blamed high fuel prices and intense fare competition from Southwest, which also operates at Midway.

ATA warned it would not meet cash obligations due in the first half of 2005.

ATA is pursuing other strategies to improve revenues, including the addition of business class and possible transatlantic flights.

However, if it proceeds with the asset sale or is forced into bankruptcy, it would make the first big retrenchment by a low-cost airline in this downturn.

“It is a question of survival but it is a Band Aid approach,” said another banker. “It still does not address their strategic problem. There are active buyers who would also be interested in buying the whole company.”

ATA, which is still about 70 per cent owned by George Mikelsons, its Latvian founder, was founded in 1973 in Indianapolis, offering military and leisure charter services.

Since 2000 it expanded aggressively into scheduled services, agreeing to pay big upfront leasing costs to buy a fleet of 25 Boeing 757 aircraft and 13 737-800s. It has seven more 737-800s on order.

Concerns about the future of ATA led Boeing Capital last month to take a $29m non-cash charge after concluding that its unsecured preferred stock investment, initially valued at $50m, was “other-than-temporarily impaired”.
 
Lets see, WN is not interested. Supposedly B6 is not interested, as they don't want to go head to head with WN. I doubt AirTran would be interested, as they have plans for their growing fleet in DFW. Mesa couldn't put together the deal fast enough, as they have too many other commitments. This leaves only Virgin USA. I've heard they are also interested in the UAIR Shuttle. Since Virgin will probably not be flying until next summer sometime (no certificate), it's hard to believe they could buy either one. Plus on top of that the expansion buildout bonds for MDW are paid based on landing fees and gate use. Looks like WN is going to get stuck if someone doesn't ante up soon.

No buyers, means the ATSB could not get the equity they need to postpone the loan recalls by Sept 30th.
 
What about Aloha? They are looking for airplanes...
 
AirTran or Continental...

I heard that Continental Airlines might be interested in the 737-800s but I doubt they would want to do anything at MDW.... Who would want to compete head-on with SWA at MDW? AirTran is possible given its current use of 737-700s and its low cost structure - MDW would provide the infrastructure for a new hub in the Midwest (easier than starting from scratch with zero infrastructure). AirTran already has a presence at MDW - it's possible....

They already house a 757 sim for ATA
That's the rumor I keep hearing around the halls in PHX. I don't know if HP could use the 737-800's, but the 757's (with the aircraft already ETOPS ready) would make a great move here.

-IF- any assets were to go anywhere, I hope the ATA pilots go with the aircraft to the acquiring carrier if they choose to. At the very least, they should be given preferential interviews.

Um maybe in a perfect world. But this might be the reason for the 717 payscale to downsize capacity on some 757 markets into the 737-800 then allow the market to be efficiently served

Actually 22 4 are leasesd though. But they may want the 757 to replace exsisting older 757s. Dunno I don't work there. But hopefully I get the call in the next couple of months.

NEW YORK, Aug 24 (Reuters) - Low-cost carrier ATA Airlines is trying to sell its assets at Chicago's Midway International Airport to larger rival Southwest Airlines (NYSE:LUV - News), an analyst said on Tuesday, as ATA grapples with a liquidity crisis.

ATA Holdings Corp. (NasdaqNM:ATAH - News) said in a U.S. Securities and Exchange Commission filing last week that barring changes to its aircraft lease agreements, it does not expect to have enough cash to meet those obligations in the first quarter of 2005. The company also said in the filing it might sell some assets.

Fulcrum Global Partners analyst Susan Donofrio said in an interview with Reuters on Tuesday that ATA plans to sell its assets at Midway Airport. "They shopped it to Southwest specifically," Donofrio said.

Southwest did not immediately return calls for comment.

In a research note earlier this month, Donofrio cited ATA's problems as potential growth opportunities for Southwest Airlines at Midway International Airport. ATA is the largest carrier at Midway International Airport, where it accounts for 40 percent of all departures.

On Tuesday, the Financial Times newspaper reported that Seabury Group, a boutique investment bank specializing in transportation, had been asked to find buyers for ATA's leases on 14 airport gates at Midway.

Both ATA and Seabury Group declined comment.

According to the FT, the Indianapolis-based airline is also seeking buyers for its more than 30 Boeing 737-800 jets. AirTran Airways (NYSE:AAI - News) and Mesa Airlines (NasdaqNM:MESA - News) are "among those understood to be interested," the newspaper reported. Neither airline returned calls for comment.

The article, citing an unnamed source, said ATA was looking to raise about $500 million from the transactions but that $200 million to $300 million was more realistic. The newspaper quoted the source as saying the money would be used to pay off a $148.5 million loan with the Airline Transportation Stabilization Board (ATSB) and unsecured bondholders.

Clark Orsky, a bond analyst for KDP Investment Advisors, told Reuters last week that he thought ATA would likely be unable to meet its ATSB loans in the third quarter and would have to ask for waivers.

In its quarterly filing last week with the SEC, the airline also said its cash balance would fall by $20 million in this year's third quarter.

ATA has been aggressively cutting costs in the past year to cope with falling fares, soaring jet fuel prices and declining demand for its military charter flights. In May, the airline became the first low-cost carrier to postpone a pay raise.

ATA's pilots have agreed to $43 million in concessions over two years, but its flight attendants recently rejected a request for $8.9 million in pay givebacks.

In February the discount carrier exchanged $300 million of debt due in 2004 and 2005 for new notes and cash, enabling it to push back the majority of its bond payments to 2009 and 2010. An agreement with Boeing Co. (NYSE:BA - News) and two other lessors to reduce ATA's lease payments by nearly $150 million was contingent upon the debt exchange.

"ATA has always had a revenue problem," Donofrio said. "It's very hard to grow your revenue base when you're constantly switching strategies," Donofrio said.

ATA Holdings shares were up 5 cents at $2.81, after falling to $2.75 in morning trade on the Nasdaq.

ATA loss would land hard at Midway
Ready for departure?

Just weeks after completing a massive $927-million redevelopment, Midway Airport faces the potential loss of its largest carrier.


The carrier's potential retrenchment or demise would have enormous ripple effects on other airlines at Midway, raising their costs of paying off the airport's redevelopment. Landing fees and gate rental charges are adjusted to cover the city's costs of running the airport, so if one airline cuts back, the remaining carriers pay more.

"We've avoided looking at that number yet," says Peter Houghton, director of properties for Southwest Airlines, Midway's other major tenant, and chairman of the committee that oversees the airport's capital projects. "We'll wait to see what transpires. If costs go up, they go up."

Southwest would be best positioned to capitalize on ATA's problems. While the Dallas-based carrier has been the longtime leader of Midway's revival, ATA's rapid growth in recent years has brought both carriers into neck-and-neck competition.

Retrenching options

However, Mr. Houghton says Southwest probably wouldn't be interested in acquiring ATA's gates. "We don't have a current need for the gates," he says. "They were probably worth more when there were only 29" gates at Midway, before the recent redevelopment added another 14.
