Airline has tendered smaller proportion of Midwest shares than originally thought

AirTran Holdings Inc.'s hostile takeover bid for Midwest Air Group Inc. has garnered a lower proportion of shares than initially reported.

AirTran said Wednesday that Midwest shareholders have so far tendered 1.78 million shares. That was initially thought to be 9.6% of Midwest's outstanding shares, estimated at 18.6 million.

But Midwest Air, corporate parent of Midwest Airlines and Midwest Connect, had an estimated 24.4 million shares outstanding as of Feb. 28, a Midwest Air executive said Thursday.

Under the higher amount, AirTran's proportion of tendered shares drops to 7.3%.

Carol Skornicka, Midwest Air's senior vice president of corporate affairs, said that number of shares has increased in recent weeks.

The actual number of a publicly traded company's outstanding shares can change from day to day, Skornicka said. For example, an executive can use his stock options to buy additional shares.

The big jump in Midwest Air's shares occurred when investors that held senior secured convertible debt for Midwest Air chose to convert their positions to equity, Skornicka said.

The conversion, which Midwest announced Feb. 21, resulted in a $21.6 million debt reduction for the company. The conversion increased shareholders' equity and resulted in a reduction of $1.5 million in annual interest expense, Midwest said.

Midwest Air raised $25 million of convertible debt in 2003. All other debt holders have previously converted their holdings to equity.

AirTran has extended its buyout offer to April 11. It had been scheduled to expire Thursday. AirTran shares closed up 15 cents at $10.10 Thursday while Midwest shares closed up 39 cents at $11.74.

The majority of shares are usually tendered at the last minute ... isnt that the usually the case ?... more 'dribble and rhetoric' from the cookie palace it seems.. fed directly to the Sentinel from Carol .. Hmmmm... sounds fishy to me....

Nice try son ... the simple fact is that AirTran and its cohorts do not have the horsepower to take it. Get used to it. Waiting until 11APR will not change that.

The boys at the AirTran puzzle palace will have to look elsewhere to find a place to unload those 737 they do not have the routes to fly. You all hang on ... the AirTran ride is going to get rough.

The puzzle palace will try to get their money people on your board... it may work..it may not...I guess we will know next month.. I'd be more worried about a RJ growth plan....son...

it seems odd to me that someone would consider getting " a bunch of 737s unloaded on them" as a less desirable option to having his company outsource their flying to Skywest flying rjs.....

just my two cents....

I don't know shiit about this whole deal..First to admit it...I doubt anybody on this cheesy flightinfo board does..that is obvious..the board is strictly entertainment ..I was merely making an 'observation' concerning the 'banter' between the 'Puzzle' and 'Cookie' Palace.... I have nothing but great respect for the fine pilots of Midwest.

However..lots of new cities for the aircraft coming on line at Tranny...which are not RJ's or MD's pulled out of mothball..why bury your head in the sand....My only point .!! Best Wishes to all...May we all get 23 days off a month and get paid a gazillion bucks with great bennies .... peace..

Bi Bobby, unloading 737 is not the problem in todays market. AirTran has already been offered to sell their options to SWA for over 3 million a copy. Not a bad profit for being a middle man. Boeing even threw in a teaser of the option to buy the -800s for the same price of the 700

For some reason that was funny.
 
With only 1.77 million shares being tendered may indicate the shareholders at Midwest may be holding out thinking AirTran may come in with a higher offer. The management at Midwest indicates that AirTrans offer is inadequate. Bottom line, this means management feels AirTran's offer is not high enough and the shareholders may be standing by to see if the offer goes up. Perhaps we will learn more on April 11th.
 
I don't see us raising the offer . . . . . more likely, we'll let the deal go, and when Uncle Timmy and his mouthpiece "Scornin' Carol" drop the ball like we all know they will, the shareholders will come to us with a sweeter deal for the 'Tranny.

Unfortunately, the Midex pilots destroyed a lot of goodwill with the FL pilot group when they came out against the merger. If this merger fails, I predict it becomes an asset sale in a year or so, and the Midex pilots get stapled instead of the integration they would have gotten in a merger.

First off, I'm in favor of the merger, regardless of what the MEC says. Asset sale? Yeah right, we'd have to be out of business for that, and that's not going to happen. I guess we'll see in a "year or so" if you're right. In the meantime you guys go and get a pay raise and a good contract so we can use that to show our management how underpaid we are. Maybe they'll toss the pilot group a bone since we backed them on the merger issue (yeah right).
 
I don't think you'd have to be "out of business" for an asset sale . . . .look at ATA.

I also didn't mean to be insulting. I just don't understand why your MEC came out against the merger . . . . . our guys were for a fair(!) integration (ie relative seniority with fences) and our pay and benefits package would be better for most of your pilot group . . . . seems like over time, the merger is likely to happen, and I think that action (voting against the merger) will be used as justification to give your group less than a fair shake . . . . any idea why the MEC didn't at least just remain neutral?
