United Continental Details Executive Pay

By TheStreet Staff 10/03/10 - 03:15 PM EDT
CHICAGO (TheStreet) -- United Continental Holdings(UAL_) has disclosed compensation packages for its top executives and chairman.

United Continental is the result of Friday's merger of United Airlines' parent UAL Corp. (former ticker UAUA) and Continental Airlines (former ticker CAL). It is the world's largest airline when measured by traffic.
In a filing with the Securities and Exchange Commission Friday, the airline said its president and CEO, Jeffrey Smisek, would receive an annual salary of $975,000 and will be eli gible to receive another $1.46 million a year under the company's annual cash incentive program.

Smisek's contract also provides for a grant in 2011 of a long-term incentive award with a target value of $8.4 million, as well as a one-time merger integration award with a target value of $4 million.

Before the merger, Smisek was the chairman and CEO of Continental. His initial contract with United Continental Holdings is for three years.

Zane Rowe, UAL's new CFO (and former Continental CFO), will receive an annual base salary of $750,000, and he'll be eligible for incentive compensation of 135% of his salary, or $1.01 million.
McDonald, the merged airline's COO, will bring home $850,000 a year and, like Rowe, will be eligible for incentive compensation of 135% of his salary, or $1.15 million. McDonald was chief administrative officer at United Airlines.

Upon completion of the merger, Glen Tilton retired as president and CEO of UAL Corp. He becomes nonexecutive chairman of the merged airline, however.
The regulatory filing said Tilton, in his new role, will receive "enhanced payments and benefits in recognition of the unique contributions he is expected to make and the heightened responsibilities he is expected to have in the role of chairman of UAL in light of his prior roles leading UAL."

Tilton will receive a $600,000 annual cash retainer and an annual equity grant of $150,000 in restricted stock units.

In addition, Tilton will be entitled to office space and administrative support during his service as chairman and for a period of 10 years thereafter.

100 beans says his secretary will make more than a 12 year 75 F/O.

Generational wealth, that's it plain and simple. All these executives, and their future generations will never have to work again. All provided off the backs of labor. God, what a great country. 400% above the average workers compensation for executives seems fair to me. (HEAVY SARCASM).

Biggest transfer of wealth the world has ever seen. The rise of unions after WWI and well into the 60s raised wages and, like an unintentional stimulus plan, poured money into a middle class and was an engine driving the U.S. economy for decades. Unlike the wealthy, the middle class spend their money. Trillions distributed amongst the middle class. We are now watching this wealth being legally stolen.

To those who say we don't need a Union.

Tilton also gets 10 years of office space and a secretary too? Along with a nice salary? That is crazy. Don't forget that.

Watch Tilton step in to override Smisek when he signs off the JCAB. I won't be surprise if he even attempts to push Smisek out of the CEO position.

You have been duly informed. Continue to fund that "FUG" strike account!!!

Didn't Tilton ALREADY get 40 million or so for running UAL through ch11 and dumping the pensions, etc?? Wow this guy is really bending the company over.

At the very least I hope the former dogsh!t robber barons lost their lifetime 1st class pass privileges. Hey Frank I know you are out there, gonna use Orbitz to get to Madrid next month???

Glenn's first order of business: To reshape the BOD much like he orchestrated in post BK UAL. Once that project is complete Smisek will be on notice...

Are the two pilots groups really ready to say FU Glenn?

Am I mistaken that Glenn is now nothing more than a puppet? I don't see him being able to do anything...except collect his millions for being one of one of the worst CEO's in airline history.

Thus continues the American way of rewarding failure. Revolution is coming. I laugh at all the campaign signs I drive by. People get so worked up about it. Nothing is going to change, dosen't matter who is in office. Welcome back to the dark ages of serfdom. We exist solely to make the top 1% rich. The founding fathers are turning in their graves right now. Politicians, lawyers and accountants have turned our political system into nothing more then a special interest group good ole boys club.
