TEMPE, Ariz., Jan. 31 /PRNewswire-FirstCall/ -- US Airways (NYSE: LCC - News) today withdrew its offer to merge with Delta Air Lines Inc. (OTC: DALRQ - News). The airline was informed earlier today that the Official Unsecured Creditors' Committee would not meet its demands by the airline's established deadline of Feb. 1, 2007. As previously announced, US Airways' offer of $5.0 billion in cash and 89.5 million shares of US Airways stock would have expired on Feb. 1, 2007, unless there was affirmative support from the Official Unsecured Creditors' Committee for commencement of due diligence, making the required filings under Hart-Scott-Rodino, as well as the postponement of Delta's hearing on its Disclosure Statement scheduled for Feb. 7, 2007.

US Airways Chairman and Chief Executive Officer Doug Parker stated, "We are disappointed that the Committee, which has been chosen to act on behalf of all Delta creditors, is ignoring its fiduciary obligation to those creditors. Our proposal would have provided substantially more value to Delta's unsecured creditors than the Delta stand-alone plan. We would have created a better and more financially stable airline that offered more choice to consumers and increased job security to its employees. Our merger would have been able to be consummated in a reasonable time-frame and we would have been able to obtain all requisite regulatory approvals.
"The publicly traded bonds of Delta have fallen precipitously since rumors of this Committee decision were leaked last week, reducing the implied market valuation of what Delta's unsecured creditors can expect to recover in these cases by over $1.5 billion. We empathize with the investors who purchased Delta bonds at increasingly higher prices since our offer was announced last November and thank them for their support of our proposal and their confidence in our team. It is now clear that there will not be an opportunity with the Committee to move forward in a timely or productive manner and as a result, we have withdrawn our offer."
Mr. Parker added, "At US Airways, we are extremely confident in our own stand-alone plan. Earlier this week, we announced a 2006 profit (excluding charges) of over $500 million, far and away the best performance by a network airline. Our employees will share $59 million of well-deserved profit sharing payments as a result. Looking forward, we expect even higher earnings and a higher profit sharing pool in 2007. With all this cash they have why don't they do the right thing and give the employees their pensions back instead of this shopping spree!
 
It's on to UAL. Good Luck with DL/NWA. That's what DL seems to want, but it just may be that NWA is not interested. We'll see.

Great news! I have never had anything against USAir or AWA pilots in general, rather I have disliked the plan and thought Parker was a bit too ego driven.

It's all good, the LCC takeover attempt was a train wreck waiting to happen. Too many folks on this forum, with a superficial understanding of the industry, thought this was a done deal. From the beginning it was "done" alright.

Congrats!!

Congratulations DL/US pilots. While I didn't always see eye to eye with some of the DL pilots on this I am happy to see that we can focus (maybe, could be DP is already eyeball'n someone else) on US and make it a competitor in the industry. Well I should preface that with the fact that Parker needs to get his a$$ in gear when it comes to the negotiations at hand. Good luck to the DL folks and we'll see you out there...

Actually, come to think of it, USairways withdraws its offer is to nice of a way to put it. I prefer, USairways was told to go ---- up a rope.
 
I would expect a big aircraft order announced soon (like Air Canada's exit from bankruptcy). Perhaps 787s will be on the way...........

That is a very real possibility and all of the talking heads on the East side of Virginia ave. are very quiet about this. I have been told that it is something that they are looking in to. They need the 190 and they want it yesterday. The purchase of them accomplishes two things at once.

Jetblue doesn't have creditors that are willing to take 50 cents on a dollar like someone else I know. Of course, I'm sure On*Star and his crew would be more than willing to shrink from the picture if his good friend Grinchstein wants to get it past the DOJ.:laugh: :laugh: :laugh: :laugh:

Thanks for the heads up R2D2. You can advise your counterpart 3-CPO (alias GL) that the money is now available to fix his CPU that will correct all the de javu repetitive comments on this drawnout soap opera.

I would keep an eye on future meetings between DL creditors and NWA creditors about a possible merger. Both stand to do much better than the stand alone plans that will be presented to the BK judges. The big issue as always will be who will run the company? Oh I forgot, the CEO for NWA wants to retire to his lake home.:)

Look for Parker to bid for NWA and match them up with the East US ops to Europe and AWA's strong feed to NWA's Pacific Routes. Potential for him to outbid Delta for NWA since now he's got a big stack of cash and might wave it in front of NWA and be able to offer more to NWA creditors than DL can. Nobody really knows for sure how serious DL was anyway about NWA. Mostly smoke and that will evaporate as time goes by. DL will be focused on getting out of Bankruptcy and proving to thier creditors that they did in fact get the best deal by stalling US. Lots of potential lawsuits if DL does not get it right with thier creditors as they emerge since they by-passed the US offer. I doubt Parker will sit idly by -- he's convinced consolidation is the way to go and look for a run at NWA since they are still in bankruptcy. Sooner rather than later is my guess.

Same problem as DL....mgt doesn't want it.....but if they have to, they will dance with DL.

DP's only recourse (or is that recoarse, or inner coarse), is to go where they want him to manage the whole company....ala UAL. He's not going to bang his head with NWA, unless they make the overture first.
