Mesa Air Group dropped its bid to acquire Atlantic Coast Airlines yesterday morning, a day after United Airlines withdrew an MOU under which Mesa would have become United's Regional feeder at its Washington Dulles hub following a successful acquisition of ACA.
The collapse of the 2.5-month hostile takeover effort followed a US Court decision last Thursday preventing Mesa from moving forward with its effort to unseat the current ACA board of directors or buy the company pending resolution of ACA's litigation before the court. On the same day, ACA revealed that the US Dept. of Justice had opened an investigation to determine whether Mesa's proposed acquisition of the Regional violated US antitrust law and whether United Airlines played a role in the takeover effort.
In a statement released yesterday, Mesa Chairman and CEO Jonathan Ornstein said, "While we continue to believe the combination of Mesa and Atlantic Coast is in the best interests of the shareholders of both companies and we disagree with the Court's antitrust conclusions, we understand United's decision and appreciate their need to move forward with plans to maintain service in their Dulles hub without the service of Atlantic Coast Airlines."
ACA said it will proceed with its plan to become a low-fare carrier based at Dulles. "We are continuing to emphasize the benefits of Independence Air. The key point that some people have missed is that we will create the largest low-fare carrier in the country at Dulles," ACA spokesperson Rick DiLisi told ATWOnline when asked for a reaction to Mesa’s decision. "I wouldn't want to put an emotional characteristic on it, but we are determined to make Independence Air a big success for our shareholders and our passengers."
Mesa launched its takeover effort last Oct. 6 (ATWOnline, Oct. 7), two months after ACA announced plans to become a low-cost carrier following its inability to arrive at a new codesharing agreement with United Airlines under which ACA would have remained in the United Express program. Its decision has left United without a significant Regional feeder at its Dulles hub.--Sandra Arnoult ."
